Terms of Service for Integration AI Agents

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Integration AI Agents ("Integration AI Agents," "we," "us," or "our"), governing your access to and use of the website integrationaiagents.com (the "Website") and any related services, features, content, and applications offered by us (collectively, the "Service").
1. GENERAL PROVISIONS
1.1. Acceptance of Terms. By accessing or utilizing the Service, you signify your unequivocal agreement to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. Should you not concur with any provision of these Terms, you are expressly prohibited from accessing or using the Service.

1.3. Definition of Service. The Service provided by Integration AI Agents encompasses the provision of a platform facilitating the integration and deployment of artificial intelligence agents and related tools, information, and functionalities, as further detailed on the Website.
2. USER CONDUCT AND OBLIGATIONS
2.1. Permitted Use. Your access to and use of the Service is strictly limited to lawful purposes and in accordance with these Terms. You are authorized to use the Service for its intended purpose of integrating and managing AI agents, subject to all applicable laws and regulations.
2.2. Prohibited Activities. You hereby covenant and agree not to engage in, or facilitate others in engaging in, any of the following prohibited activities: a. Violating any applicable federal, state, local, or international law or regulation. b. Impersonating or attempting to impersonate Integration AI Agents, an Integration AI Agents employee, another User, or any other person or entity. c. Engaging in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Integration AI Agents or Users of the Service, or expose them to liability. d. Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. e. Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service. f. Using any manual process to monitor or copy any of the material on the Service, or for any other unauthorized purpose without our prior written consent. g. Utilizing any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service. h. Attempting to decompile, reverse engineer, or disassemble any portion of the Service.
2.3. Account Responsibility. If you register for an account with Integration AI Agents, you are solely responsible for maintaining the confidentiality of your account credentials (e.g., username and password) and for all activities that occur under your account. You agree to notify Integration AI Agents immediately of any unauthorized use of your account or any other breach of security.
3. INTELLECTUAL PROPERTY RIGHTS
3.1. Ownership of Service Content. The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Integration AI Agents, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
3.2. User-Generated Content License. To the extent you submit, post, or display any content, data, or materials ("User Content") on or through the Service, you retain ownership of your intellectual property rights in such User Content. However, you hereby grant Integration AI Agents a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and Integration AI Agents's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.
4. DISCLAIMERS AND LIMITATION OF LIABILITY
4.1. Service "As Is". THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. INTEGRATION AI AGENTS HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. INTEGRATION AI AGENTS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
4.2. Limitation of Damages. IN NO EVENT SHALL INTEGRATION AI AGENTS, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
4.3. Indemnification. You agree to defend, indemnify, and hold harmless Integration AI Agents, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.
5. TERM, TERMINATION, AND GOVERNING LAW
5.1. Term and Termination. These Terms shall remain in full force and effect while you use the Service. Integration AI Agents may, at its sole discretion, suspend or terminate your access to all or part of the Service at any time, with or without cause, with or without notice, effective immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
5.2. Governing Law and Jurisdiction. All matters relating to the Service and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.
